Welcome to Chief Mama Officer, operated by Zula Group, LLC ("Chief Mama Officer," "we," or "us"). These Terms of Service (the "Terms") govern the coaching, HR, advisory, and program services described in Section 1 (the "Services"). By engaging or using our Services, you agree to these Terms. 1. Description of Services
Chief Mama Officer offers a variety of Services, including, but not limited to, 1-on-1 executive coaching (the "1-on-1 Coaching Services"), fractional HR support (the "Fractional HR Services"), project-based HR consulting (the "HR Consulting Services"), advisory services for corporate and startup organizations ("Advisory Services"), and programming for corporate and startup organizations ("Corporate Program Services").
1.1 1-on-1 Coaching Services
The Services include an opportunity to receive professional 1-on-1 coaching. 1-on-1 Coaching Services are subject to fees based on our current pricing, and you agree to pay for such fees.
1.2 Fractional HR Services
The Services include an opportunity for corporate or startup organizations to engage Chief Mama Officer for fractional HR support. Fractional HR Services are subject to additional fees, and you agree to pay for such fees.
1.3 HR Consulting Services (Project-Based)
The Services include an opportunity for corporate or startup organizations to engage Chief Mama Officer for project-based HR consulting. HR Consulting Services are subject to additional fees, and you agree to pay for such fees.
1.4 Advisory Services
The Services include an opportunity for corporate or startup organizations to request advisory services. Advisory Services are subject to additional fees, and you agree to pay for such fees.
1.5 Corporate Program Services
The Services include an opportunity for corporate or startup organizations to request programs or workshops to be delivered to their companies. Corporate Program Services are subject to additional fees, and you agree to pay for such fees.
2. Acceptance of Terms
By registering for, engaging, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Services.
These Terms apply to the paid Services described in Section 1. Our website, podcast, and free resources, including the CMO Compass assessment, are provided for general informational purposes only and are not a substitute for professional advice. Their use is subject to Sections 7.3, 8, and 9 and our Privacy Policy.
3. Eligibility for Services
To use the Services, you must be at least 18 years old. By participating, you affirm that you are legally capable of entering into this agreement. Services are personal and non-transferable. You may not assign, transfer, or sublicense your rights under these Terms to any other person or entity without our prior written consent. If you engage the Services on behalf of a company or organization, you represent that you have authority to bind it to these Terms, and "you" includes that organization.
4. Payment Processing
Chief Mama Officer bills for the Services directly through Mercury. Mercury's own terms and privacy policy govern its handling of your payment information.
5. Payment Terms and Billing
By purchasing the Services, you agree to pay applicable fees and taxes in effect at the time a fee or charge is due and payable.
Invoicing and Payment: Fees, billing schedules, and payment due dates are set out in your invoice, proposal, or written engagement agreement. Invoices are due by the date stated on the invoice. Overdue amounts may result in Services being paused under Section 10.3.
Price Changes: Chief Mama Officer reserves the right to change its prices and billing methods at any time. We will provide you with at least 30 days' notice before any price increase takes effect. Price changes do not affect fees already agreed in a written engagement agreement or statement of work for the term of that agreement. Continued use of the Services after a price change constitutes acceptance of the new pricing.
6. Refund Policy
Other than in any circumstances prohibited by applicable law, all payments made through the Services are final, and Chief Mama Officer will not issue any refunds. This includes, but is not limited to, coaching session fees, retainer and project fees, and program fees.
7. User Content and Intellectual Property
7.1 Testimonials and Your Content
You retain ownership of any content you provide or submit through the Services, including testimonials, quotes, and photos ("User Content"). By providing User Content, you grant Chief Mama Officer a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, modify, adapt, and distribute this content for marketing purposes (such as testimonials, success stories, or promotional materials) for the duration of your use of the Services and for a period of one (1) year after your use ends.
7.2 Content Warranties
You represent and warrant that:
- You own or have the necessary rights to all User Content you post
- Your User Content does not violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
- Your User Content complies with these Terms and all applicable laws
7.3 Our Content
All content, materials, features, functionality, trademarks, service marks, logos, and text provided by Chief Mama Officer (collectively, "Our Content") are the intellectual property of Chief Mama Officer or its licensors and may not be copied, reproduced, distributed, modified, or used without our prior written permission.
8. Disclaimer of Warranties and Service Limitations
Services provided "as is": THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Coaching is not therapy or medical advice. You acknowledge and agree that:
- Coaching services are not a substitute for professional mental health counseling, psychotherapy, medical advice, or legal advice
- Coaches are not licensed therapists, psychologists, psychiatrists, or medical professionals (unless specifically disclosed otherwise)
- You should consult appropriate licensed professionals for mental health, medical, legal, financial, or other specialized advice
- Results from the Services are not guaranteed, and outcomes depend on many factors including your own effort and circumstances
- Chief Mama Officer makes no representations or warranties regarding specific results or outcomes from participation in any Services
- HR consulting, Fractional HR, and Advisory Services provide general business guidance and are not legal advice; Chief Mama Officer is not a law firm and does not provide legal representation
- You are responsible for your own business, employment, and compliance decisions, and for consulting qualified legal counsel where appropriate
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHIEF MAMA OFFICER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use of (or inability to use) the Services
- Any advice, recommendations, or materials provided through the Services
- Business, employment, or other decisions you make based on the Services
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO CHIEF MAMA OFFICER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.
10. Cancelling or Ending Services
10.1 Written Engagement Agreements
For Fractional HR Services, HR Consulting Services, Advisory Services, and Corporate Program Services, scope, notice periods, and wind-down terms may be set out in a written engagement agreement or statement of work. If a written agreement conflicts with these Terms, the written agreement controls for that engagement.
10.2 Ending by You
You may end an engagement at any time by notifying us in writing at support@chiefmamaofficer.com. Ending an engagement does not entitle you to a refund of fees already paid, as set out in Section 6, and you remain responsible for fees owed for Services delivered through the end date.
10.3 Ending by Chief Mama Officer
Chief Mama Officer may pause or end an engagement at any time, with or without notice, if we believe in good faith that:
- Your conduct violates these Terms
- Your conduct is harmful, disruptive, or threatening to Chief Mama Officer or its team
- Fees owed to Chief Mama Officer are overdue or unpaid
- It is necessary to protect Chief Mama Officer or others from legal liability
If we end an engagement for cause, no refunds will be provided.
10.4 Effect of Ending an Engagement
When an engagement ends for any reason:
- Chief Mama Officer's obligation to provide the Services under that engagement will end
- Fees owed for Services delivered through the end date remain payable
- Provisions of these Terms that by their nature should survive will survive, including but not limited to Sections 7, 8, 9, 10.4, 11, 14, and 15
11. Confidentiality
Chief Mama Officer will keep confidential the non-public business, personnel, and personal information you share in connection with the Services, will use it only to provide the Services, and will not disclose it except to advisors who need it and are bound to keep it confidential, or as required by law. You agree to treat any non-public materials, methods, and information we share with you in the same way. This section does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed.
12. Data Protection and Privacy
Our Privacy Policy, available at https://www.chiefmamaofficer.com/privacy-policy, details our data collection, use, and sharing practices.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Montana, U.S., without regard to conflict of law principles.
Any legal disputes will be resolved exclusively in the state and federal courts located in Montana, and you consent to the personal jurisdiction of such courts.
13.1 Informal Resolution
Before filing any formal legal action, you agree to contact us at support@chiefmamaofficer.com to attempt to resolve the dispute informally for at least 30 days.
14. Force Majeure
Chief Mama Officer shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, any written engagement agreement or statement of work, and any other policies or agreements referenced herein, constitute the entire agreement between you and Chief Mama Officer regarding the Services and supersede all prior agreements, understandings, and representations.
15.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
15.3 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
15.4 Assignment
Chief Mama Officer may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law. You may not assign or transfer these Terms or your rights hereunder without our prior written consent.
15.5 Notices
All notices to Chief Mama Officer must be sent to support@chiefmamaofficer.com. We will send notices to you at the email address you provided to us. You agree that electronic notices satisfy any legal requirement that notices be in writing. Notices are deemed received 24 hours after email is sent, unless we receive notice that the email was not delivered.
15.6 Independent Relationship
Chief Mama Officer provides the Services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and Chief Mama Officer.
16. Changes to Terms
We may modify these Terms periodically to reflect changes in our Services, legal requirements, or business practices. Updated Terms will be posted on our website at https://www.chiefmamaofficer.com/terms, and the "Effective Date" will be revised. We will notify you of material changes by email when they take effect. Your continued use of the Services after the effective date of the revised Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services before the effective date.
